Welcome to Kappture. These Terms of Service ("Terms") govern your access to and use of the Kappture application, website, and related services (collectively, the "Service") operated by Agentic Intelligence Ltd ("we," "our," or "us"). By using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and agree to comply with these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Kappture is an AI-powered meeting recording and transcription platform that provides:

• Audio recording and voice memo capture
• AI-powered transcription and summarization
• Framework-based conversation analysis and coaching insights
• Calendar integration and meeting management
• Team collaboration and shared recording libraries
• Knowledge base document management

3. User Accounts

3.1 Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access to your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Record conversations without the consent of all participants where required by law
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or other users' access
• Use the Service to harass, abuse, or harm others
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without our written consent

5. Your Content

5.1 Ownership

You retain ownership of all content you create, upload, or store through the Service, including recordings, transcripts, notes, and documents ("Your Content").

5.2 License to Us

You grant us a limited, non-exclusive license to store, process, and transmit Your Content solely to provide and improve the Service. This includes processing audio through third-party AI services for transcription and analysis, subject to your consent as described in our Privacy Policy.

5.3 Content Responsibility

You are solely responsible for Your Content and ensuring it does not violate any third party's rights or applicable laws.

6. AI-Powered Features

The Service uses artificial intelligence for transcription, summarization, and analysis. You acknowledge that:

• AI-generated outputs may contain errors or inaccuracies
• AI features are provided "as-is" and should not be relied upon as the sole basis for important decisions
• Audio data and transcripts are processed by third-party AI providers (OpenAI, Anthropic) as described in our Privacy Policy
• You may control AI data processing through the consent settings in the app

7. Team and Organization Features

If you use team or organization features:

• Organization administrators may manage members, roles, and shared content
• Shared recordings and content may be accessible to other team members based on permissions
• Organization owners are responsible for their members' compliance with these Terms

8. Fees and Payment

Certain features of the Service may require a paid subscription. Payment terms, pricing, and billing details will be communicated at the time of purchase. All fees are non-refundable unless otherwise stated or required by applicable law.

9. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Agentic Intelligence Ltd and protected by intellectual property laws. Nothing in these Terms grants you rights to our trademarks, logos, or other proprietary materials.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may delete your account at any time through the app settings. Upon termination, your right to use the Service ceases immediately.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

14. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms shall be resolved in the courts of New Zealand.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and revising the "Effective Date." Your continued use of the Service after changes constitutes acceptance of the updated Terms.
